# SOFTWARE LICENSE AGREEMENT
This License Agreement ("Agreement") is made between the individual(s) or entity(s) in possession of the intellectual property and copyright ("Licensor") of SlapKit, effective as of the date of obtaining the software.
## 1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to use SlapKit ("Software") in accordance with the terms of this Agreement. This License encompasses both development and deployment.
The License is subject to the payment of the specified fee as outlined on the Licensor’s website or in promotional materials.
This License might also be obtained for free subject to the following conditions: The Licensee never has more than three developers working for them (be it as employers or contractors, full-time or part-time) simultaneously; The Licensee does not generate more than five hundred thousand dollars ($500,000) in yearly revenue.
## 2. Restrictions
Licensee shall not:
a. Sublicense, resell, rent, lease, distribute, market, commercialize, or otherwise transfer rights or usage of the Licensed Product to any third party;
b. Create derivative works or competitive products based on the Licensed Product;
c. Modify, reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law;
d. Redistribute, sell, lease, sublicense, or otherwise make SlapKit available to third parties without prior written consent from Licensor.
## 3. Data Collection
Licensor reserves the right to collect anonymous usage statistics to improve the Software and user experience. This data will not include any personally identifiable information.
## 4. No Spyware
Licensor certifies that SlapKit does not contain any form of spyware, malware, or hidden backdoors. The Software is designed to respect the privacy and data integrity of the Licensee.
## 5. Term
This Agreement is effective unless terminated by the Licensor. The Licensor can terminate this agreement at any time with or without a reason. The Licensee does not have the right to terminate this Agreement unilaterally.
## 6. Price Change and Updates
Licensor reserves the right to change the price of the Licensed Product at any time. Licensee is entitled to free updates for the Licensed Product for one calendar year following purchase. After this period, updates will no longer be provided for free.
## 7. Disclaimer of Warranty
The Licensed Product is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Slapkit’s authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the software or the use or other dealings in the software.
## 8. Limitation of Liability
Licensor shall not be liable for any special, incidental, or consequential damages arising out of or related to the use of the Licensed Product.
## 9. General Provisions
This Agreement constitutes the entire understanding between Licensor and Licensee and supersedes all prior agreements, negotiations, and communications, whether oral or written, regarding the subject matter hereof.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
Licensee may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Licensor.
## 10. Acknowledgement
By installing or using SlapKit, Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
